Terms of Service

These terms explain how customers may access and use BlackReach. They are written around the actual BlackReach product: workspaces, procurement intelligence, qualification scoring, Stripe billing and team access.

1. Who these terms apply to

These Terms of Service apply when you access or use BlackReach Intelligence, including the public website, onboarding flow, dashboard, APIs and related product features. References to “BlackReach”, “we”, “us” and “our” mean the business operating BlackReach. Before production launch, replace this with the registered legal entity, registered office and company number.

If you use BlackReach on behalf of an organisation, you confirm that you have authority to accept these terms for that organisation. That organisation is responsible for the actions of users invited to its workspace.

2. The BlackReach service

BlackReach is supplier-side public-procurement intelligence software for opportunity monitoring, buyer and supplier intelligence, relationship mapping, qualification scoring, watchlists, team workspaces, reports and related workflows.

BlackReach is intended to support commercial judgement. It does not replace professional procurement, legal, bid, financial or compliance advice. Users remain responsible for deciding whether to pursue an opportunity, submit a bid, rely on a source, contact a buyer or make commercial commitments.

3. Accounts, workspaces and team access

Users authenticate through Clerk. BlackReach workspaces represent customer organisations. Workspace owners and admins can invite users, manage roles, remove users and control billing. Users must keep their login credentials secure and must not share accounts.

You are responsible for ensuring that only appropriate team members are invited to your workspace and that roles are kept up to date when people leave your organisation or no longer need access.

4. Subscription, billing and taxes

Paid plans are billed through Stripe. Prices are presented VAT-inclusive unless stated otherwise. Stripe handles payment processing, receipts, invoices, billing portal access and card details. BlackReach does not store full card numbers.

Plans are currently differentiated by user limit. Every paid plan is intended to include access to the same core BlackReach platform features, subject to fair use, availability and any beta limitations disclosed in the product.

5. Public procurement data and third-party sources

BlackReach processes customer-provided workspace information and may process public procurement information from public-sector portals, notices, awards, source documents and related public records.

Public procurement data may contain errors, omissions, late updates, inconsistent naming, duplicated notices or information that changes after ingestion. BlackReach may enrich, parse and interpret this data, but we do not guarantee that third-party public data is complete, current or error-free.

6. Qualification scoring and recommendations

BlackReach provides intelligence, scoring, summaries and recommendations to support commercial judgement. It does not guarantee contract awards, buyer decisions, legal compliance of a bid, or the accuracy of third-party public data.

Scores, tags, recommendations, generated summaries, graphs and reports are decision-support outputs only. You must review source evidence and use your own judgement before relying on any BlackReach output for bid, commercial or legal decisions.

7. Customer content and acceptable use

You may submit company profiles, capabilities, notes, watchlists, preferences, team information and other workspace content. You must ensure you have the right to provide that content and that it is accurate, lawful and appropriate for use in BlackReach.

You must not use BlackReach to break the law, infringe rights, scrape or attack the service, attempt unauthorised access, upload malware, overload the platform, or use outputs in a misleading way without reviewing the underlying evidence.

8. Availability and beta features

BlackReach is under active development. Some features may be beta, incomplete, experimental or subject to change. We aim to operate the service responsibly, but we do not promise uninterrupted availability or that every feature will remain available in its current form.

9. Liability

BlackReach is provided as a business software tool for procurement intelligence and workflow support. To the extent permitted by law, we are not liable for lost profits, lost revenue, lost contracts, lost opportunities, business interruption, indirect loss or decisions made using BlackReach outputs.

Nothing in these terms excludes liability where it cannot legally be excluded, including fraud or liability for death or personal injury caused by negligence.

10. Suspension and termination

We may suspend or restrict access if an account presents a security risk, payment fails, usage appears abusive, or the workspace materially breaches these terms. Customers may cancel through the billing portal where available.

11. Governing law

These terms are intended to be governed by the laws of England and Wales. Before production launch, this section should be reviewed against the final company structure, customer locations and contracting model.
